Terms of Service

Welcome to Pano. These Terms of Service (“Terms”) are a binding agreement between you and Systems Unchained LLC (“Pano,” “we,” “us”) and govern your use of the Pano iOS app and the pano.fm website (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use Pano.

Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use Pano. By using the Service, you represent that you meet this requirement and that you are able to form a binding contract.

Your account

• Pano is currently invite-only. You are responsible for activity that happens under your account and for keeping your login credentials secure.
• Provide accurate information and keep it up to date. Do not impersonate others or create an account to evade a ban.
• Notify us promptly at team@pano.fm if you suspect unauthorized use of your account.

Your content

You retain ownership of the content you create and share on Pano (“Your Content”). You are responsible for Your Content and for having the rights necessary to share it.

To operate the Service, you grant Pano a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to transcode, generate captions, or create thumbnails), display, and distribute Your Content solely for the purpose of providing and improving the Service and as you direct through the app’s features (for example, by publishing a pano or sending a message). This license ends when you delete Your Content or your account, except for content already shared with or saved by others, and for backups that are purged on a rolling schedule.

Acceptable use

You agree to follow our Acceptable Use Policy, which is part of these Terms. **Pano has zero tolerance for objectionable content and abusive behavior.** You may not post content or behave in ways that policy prohibits — including harassment, hate speech, sexual content, violence, illegal activity, spam, or infringement.

Pano provides tools to report content and to block other users, available throughout the app. We review reports and act on violations — typically within 24 hours — by removing content and warning, suspending, or permanently banning accounts. You will not have any expectation of compensation for content we remove or accounts we restrict for violations.

Pano’s intellectual property

The Service itself — including the Pano name, logo, design, and software — belongs to Pano and is protected by intellectual property laws. These Terms do not grant you any right to use our branding without our prior written permission. We welcome feedback, and you agree we may use it without obligation to you.

Termination

You may stop using Pano and delete your account at any time from Settings in the app. We may suspend or terminate your access if you violate these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or its users. Sections that by their nature should survive termination — including content licenses already granted to others, disclaimers, limitations of liability, and dispute terms — will survive.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that content shared by users is accurate or appropriate. You use the Service at your own risk.

Limitation of liability

To the fullest extent permitted by law, Pano and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of one hundred U.S. dollars ($100) or the amount you paid us, if any, in the twelve months before the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold Pano harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or the rights of others, to the extent permitted by law.

Apple App Store

Because you download Pano from the Apple App Store, the following also apply. These Terms are between you and Pano only, not Apple, and Apple is not responsible for the Service or its content. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app, and any claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are our responsibility, not Apple’s. Apple is not responsible for addressing any claims you or a third party have relating to the app, including product-liability, regulatory, or intellectual-property claims. You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute will be resolved in the state or federal courts located in Delaware, except where applicable law gives you the right to bring a claim in your local jurisdiction. Nothing here limits any non-waivable consumer rights you may have.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you in the app. Your continued use of the Service after an update means you accept the revised Terms.
